Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Thrash Holdings, LLC d/b/a Modern Media Digital ("MMD," "we," "us," or "our"), including our website, Google Business Profile optimization services, local SEO services, and any related platforms or communications (collectively, the "Services"). By accessing our website, submitting a form, or engaging our Services, you agree to be bound by these Terms.

1. Services Described

MMD provides Google Business Profile optimization, on-page SEO, local search visibility monitoring, and related digital marketing services on a month-to-month basis. Specific services are outlined in your individual Service Agreement.

2. No Guarantee of Results

Search engine rankings, traffic, and lead generation are influenced by factors outside our control, including but not limited to search engine algorithm changes, competitor activity, market conditions, and platform policy changes. MMD makes no guarantee, warranty, or promise regarding specific rankings, traffic increases, lead volume, or revenue outcomes. Any statistics, case studies, or examples referenced in our marketing materials reflect past results for specific clients and are not indicative of future or guaranteed performance for any other business.

3. Client Responsibilities

You are responsible for providing accurate business information, timely access to accounts (including but not limited to Google Business Profile, website hosting/CMS access, and analytics platforms), and for the legality and accuracy of all content, claims, and business information you provide to us for use in your optimization, marketing, or promotional materials.

4. Prohibited Use

You may not use our Services, website, or any associated platform to: (a) engage in or promote illegal activity; (b) submit false, fraudulent, or misleading business information; (c) infringe on the intellectual property, privacy, or other rights of any third party; (d) transmit malicious code, spam, or unauthorized advertising; or (e) attempt to interfere with, disrupt, or gain unauthorized access to our systems or the systems of our third-party service providers.

5. Third-Party Platforms

Our Services rely in part on third-party platforms, including but not limited to Google Business Profile, Google Search Console, Google Analytics, and our customer relationship management software. We are not responsible for the availability, functionality, policies, or actions of these third-party platforms, including account suspensions, policy changes, or service interruptions initiated by those platforms.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MMD, ITS OWNER, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO MMD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification

7.1 General Indemnification

You agree to indemnify, defend, and hold harmless Thrash Holdings, LLC d/b/a Modern Media Digital, its owner, employees, contractors, and agents (collectively, the "MMD Parties") from and against any and all claims, demands, actions, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way related to:

1. Your business information, content, claims, advertising, representations, or materials that you provide, approve, or direct us to use, publish, or optimize on your behalf, including but not limited to information submitted for your Google Business Profile, website, or any other platform we manage or advise on;
2. Any misrepresentation, false statement, or fraudulent claim made by you or on your behalf regarding your business, products, services, licensing, certifications, or qualifications;
3. Your violation of these Terms, any Service Agreement, or any applicable federal, state, or local law, regulation, or industry-specific requirement;
4. Your violation or infringement of any third party's intellectual property rights, privacy rights, publicity rights, or other legal rights;
5. Any illegal, fraudulent, deceptive, or unauthorized activity conducted by you, or by any person using your accounts, credentials, or access, whether or not you authorized that activity;
6. Any dispute between you and your customers, clients, patients, or any third party arising from your business operations, products, or services, regardless of whether such dispute relates to work performed by MMD;
7. Your failure to obtain necessary consents, licenses, permits, or authorizations required for your business or industry;
8. Any access credentials, account information, or platform access you provide to us that were obtained improperly, without authorization, or in violation of a third party's rights.

7.2 Defense and Cooperation

MMD reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You may not settle any claim subject to this section without our prior written consent if such settlement imposes any obligation or liability on the MMD Parties.

7.3 Survival

This indemnification obligation survives termination of your Service Agreement and continues to apply to claims arising from conduct, content, or circumstances that occurred during the term of your engagement with MMD, regardless of when the claim is brought.

7.4 No Duty to Investigate

MMD is not obligated to investigate, verify, or fact-check the accuracy, legality, or legitimacy of business information, claims, or content provided by you. Our optimization and marketing services are performed based on the good-faith assumption that all information you provide is accurate, truthful, and lawfully obtained. Indemnification under this section applies regardless of whether MMD knew or should have known of any inaccuracy, illegality, or impropriety in the information provided.

8. No Professional or Legal Advice

Nothing provided through our Services, website, monthly reports, or communications constitutes legal, financial, medical, or other professional advice. You are solely responsible for ensuring your business practices, advertising claims, and industry-specific communications comply with applicable law, including but not limited to industry-specific regulations (e.g., healthcare, legal, financial services).

9. Termination

Either party may terminate services at any time in accordance with the terms of your individual Service Agreement. MMD reserves the right to suspend or terminate access to our Services immediately, without notice, if we reasonably believe you are using our Services for illegal purposes or in violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Clark County, Nevada.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
